Summary

This is the Microsoft Services Agreement governing consumer use of Microsoft's online products and services, effective September 30, 2025. The document is a comprehensive, lengthy ToS typical of a large tech platform, covering data use, content licensing, software licensing, arbitration, and account management. While it contains several user-friendly provisions (such as not claiming ownership of user content and not using personal communications for ad targeting), it also contains significant one-sided clauses including mandatory arbitration, class action waivers, the ability to change terms unilaterally, and the potential loss of purchased content upon account closure. Overall, the document is moderately aggressive in its terms but largely consistent with industry norms for a major tech platform.

Flagged Clauses

Dangerarbitration

If you live in the U.S. and have a dispute with Microsoft, you cannot sue them in regular court or join a class action lawsuit with other affected users. You must resolve disputes through private arbitration, which typically favors large companies over individual consumers.

The Microsoft Services Agreement contains binding arbitration and class action waiver terms that apply to U.S. residents. You and we agree to submit disputes to a neutral arbitrator and not to sue in court in front of a judge or jury, except in small claims court.

Dangertermination

If your account is closed for any reason — including by Microsoft — you can permanently lose access to games, apps, movies, and other digital content you paid for. You also forfeit any account balances or memberships. There is no obligation to refund these purchases.

If your Microsoft account is closed (whether by you or us)... you may lose access to products you've acquired. Closure of your access to a Service or your account may result in forfeiture of content licenses, associated content, memberships, and Microsoft account balances associated with the account.

Dangerownership

When you 'buy' Microsoft software or digital content, you are not actually purchasing it — you are only buying a limited license to use it. Microsoft can revoke this license under certain conditions, meaning you never truly own what you paid for.

The software is licensed, not sold, and Microsoft reserves all rights to the software not expressly granted by Microsoft, whether by implication, estoppel, or otherwise.

Warningmodification

Microsoft can change the terms of this agreement at any time. Simply continuing to use the service after changes are announced counts as your acceptance, even if you didn't actively review or agree to the new terms. The only way to reject new terms is to stop using the service entirely.

We may change these Terms at any time, and we'll tell you when we do. Using the Services after the changes become effective means you agree to the new terms.

Warningtermination

Microsoft can immediately close your account for policy violations. Account closure can result in losing all purchased content, account balances, and memberships. There is no clear obligation to provide advance notice before taking these actions.

If you violate these terms or Policies, we may take action against your account. This could include limiting access to certain features or Services, stopping providing Services, closing your Microsoft account immediately or blocking delivery of a communication.

Warningip rights

By uploading or sharing content on Microsoft's services, you give Microsoft a broad, worldwide, royalty-free license to use, copy, display, reformat, and distribute that content. Publicly posted content can even be used in Microsoft's promotional materials without additional compensation to you.

You grant to Microsoft a worldwide and royalty-free intellectual property license to use Your Content, for example, to make copies of, retain, transmit, reformat, display, and distribute via communication tools Your Content on the Services. If you publish Your Content in areas of the Service where it is available broadly online without restrictions, Your Content may appear in demonstrations or materials that promote the Service.

Warningdata sharing

By accepting these terms, you are consenting to Microsoft collecting and disclosing your data and content. The full scope of data sharing is defined in a separate Privacy Statement document, not in this agreement itself, meaning users must read an additional document to understand the full extent of data practices.

By agreeing to these Terms, you consent to Microsoft's collection, use and disclosure of Your Content and Data as described in the Privacy Statement.

Warningtermination

If you don't log into your Microsoft account for two years, Microsoft will automatically close it — along with any purchased content, data, and associated services like OneDrive and Outlook, which have an even shorter one-year inactivity threshold.

This means you must sign in at least once in a two-year period to keep your Microsoft account... active. If you don't sign in during this time, we will assume your Microsoft account is inactive and will close it for you.

Cautiondata sharing

If you sign into Microsoft services with a work or school email, your employer or school may be able to see, control, and access your account and its contents, including your communications and files.

If you do, you agree that the owner of the domain associated with your email address may be notified of the existence of your Microsoft account and its associated subscriptions, control and administer your account, and access and process your Data, including the contents of your communications and files.

Cautionliability

Microsoft disclaims all liability for service outages or data loss. If your stored content becomes inaccessible due to a service disruption, Microsoft has no obligation to restore it or compensate you.

We strive to keep the Services up and running; however, all online services suffer occasional disruptions and outages, and Microsoft is not liable for any disruption or loss you may suffer as a result. In the event of an outage, you may not be able to retrieve Your Content or Data that you've stored.

Cautionownership

If Microsoft removes a feature, digital good, or app from its services, the company generally has no obligation to refund your purchase or provide a replacement, unless required to do so by local law.

Except to the extent required by applicable law, we have no obligation to provide a re-download or replacement of any material, Digital Goods, or applications previously purchased.

Cautionmodification

Microsoft can push automatic updates to software on your device and can require you to install updates to continue using the service. These updates are subject to the same terms unless new terms accompany them.

We may automatically check your version of the software and download software updates or configuration changes. You may also be required to update the software to continue using the Services.

Infodata sharing

Microsoft explicitly states it does not use the content of your private communications or personal files for ad targeting. This is a user-protective commitment.

We do not use what you say in email, chat, video calls or voice mail, or your documents, photos or other personal files, to target advertising to you.

Missing Protections

  • No explicit right to a refund when Microsoft terminates an account or removes purchased digital content
  • No guaranteed notice period before account termination for policy violations — closure can be immediate
  • No explicit data retention schedule or commitment to delete data within a specific timeframe after account closure
  • No opt-out mechanism described within this document for the broad IP license granted to Microsoft over user content
  • No explicit commitment to arbitration cost-sharing or fee caps that would protect low-income users from arbitration costs
  • No price lock or advance notice requirement before price increases on subscriptions beyond what law requires
  • Children's privacy protections and COPPA/GDPR-K compliance details are not described within this document — deferred to the separate Privacy Statement
  • No explicit process for disputing account termination decisions before they take effect
  • No explicit SLA (Service Level Agreement) or uptime guarantee for paid services

Fair Terms

  • Microsoft explicitly states it does not use the content of emails, chats, video calls, voicemail, documents, or photos to target advertising — a stronger privacy commitment than many competitors.
  • Microsoft explicitly states 'We don't claim ownership of Your Content' — user content remains the user's property.
  • Users are provided a 30- or 60-day suspension grace period before account closure takes effect when initiated by the user, allowing reconsideration.
  • Microsoft provides a privacy dashboard (account.microsoft.com/privacy) for users to access and export their data, including the ability to switch to third-party services.
  • Microsoft commits to providing a summary of changes whenever the Terms are updated, and maintains a history of prior versions and change summaries.
  • Users can report concerning content or conduct through a dedicated reporting mechanism.
  • Microsoft provides an FAQ page specifically to help users understand the Services Agreement.
